Terms of Service

1. Acceptance of Terms

By accessing, browsing, or using MarketMood ("the Service", "the Platform"), operated by MarketMood ("we", "us", "our", "the Company"), you ("User", "you", "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms", "Agreement") in their entirety. These Terms constitute a legally binding agreement between you and MarketMood.

If you do not agree to these Terms in their entirety, you must immediately cease all use of the Service. Your continued access to or use of the Service following the posting of any changes to these Terms constitutes your acceptance of such changes.

These Terms apply to all users of the Service, including without limitation users who are browsers, visitors, registered users, subscribers, contributors, or otherwise.

2. Modifications to Terms

MarketMood reserves the right, at its sole discretion, to modify, amend, supplement, or replace these Terms at any time and from time to time, with or without prior notice. Any modifications shall become effective immediately upon posting the revised Terms on the Platform, unless otherwise stated. The "Last updated" date at the top of these Terms indicates when the most recent revisions were made.

Where we make changes that we consider material, we will make reasonable efforts to notify you, which may include, but is not limited to: (a) posting a prominent notice on the Platform; (b) sending a notification to the email address associated with your account; or (c) displaying an in-app banner or alert upon your next login. However, the determination of what constitutes a "material" change is at our sole discretion, and our failure to provide notice shall not affect the validity or enforceability of the revised Terms.

It is your sole responsibility to review these Terms periodically for changes. Your continued use of the Service after the posting of any modified Terms — whether or not you have received or reviewed such notice — constitutes your binding acceptance of such modified Terms. If you do not agree to the modified Terms, your sole and exclusive remedy is to discontinue using the Service.

No amendment or modification of these Terms by you shall be effective unless expressly agreed to in writing by an authorized representative of MarketMood. Any waiver of any provision of these Terms shall not be deemed a continuing waiver of such provision or a waiver of any other provision.

3. Nature of the Service

MarketMood is a market sentiment visualization, analytics, and AI-driven forecasting platform that aggregates publicly available financial market data, applies algorithmic sentiment scoring and machine-learning models, and presents AI-generated analysis. The Service includes, but is not limited to:

• Real-time market sentiment dashboards and weather-based visualizations
• AI-generated market narratives and sector analysis
• AI-generated daily playbooks with trade ideas and performance tracking
• Probabilistic stock and ETF weather forecasts with SignalScore composite metrics
• Real-time forecast realization tracking (Live tab) with hot movers, AI Spotlight analysis, and daily digest narratives
• Virtual portfolios simulating various risk strategies based on forecast signals
• Per-symbol accuracy tracking and self-improvement feedback loops
• Social media sentiment aggregation from third-party platforms
• AI-powered chat assistant for market-related queries
• Smart alerts, notification systems, and stock watchlists
• Public AI performance dashboard with historical accuracy metrics

We reserve the right to modify, expand, reduce, or discontinue any feature or functionality of the Service at any time, with or without notice.

5. No Warranties — "As Is" Basis

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, RELIABILITY, NON-INFRINGEMENT, AND TITLE. We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free
• Market data, sentiment scores, forecasts, probabilities, or AI outputs will be accurate, complete, current, or reliable
• Forecast accuracy, SignalScores, or track record metrics will be maintained at any particular level or will be predictive of future performance
• Any results obtained from the Service will be reliable or suitable for any purpose
• Defects in the Service will be corrected in a timely manner
• The Service will meet your specific requirements or expectations
• Real-time data feeds, including pulse tracking and live realization data, will reflect current market conditions without delay or error

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MARKETMOOD, ITS OWNERS, OPERATORS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY:

• Direct, indirect, incidental, special, consequential, exemplary, or punitive damages
• Loss of profits, revenue, data, goodwill, anticipated savings, or business opportunity
• Trading losses, investment losses, or financial damages of any kind
• Business interruption or loss of use
• Damages arising from reliance on any content, analysis, forecast, probability, recommendation, or AI-generated output provided through the Service
• Damages resulting from unauthorized access to or alteration of your data or transmissions
• Damages arising from the inaccuracy of any forecast, SignalScore, probability estimate, or accuracy metric

ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, PRODUCT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY CASE, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

7. Assumption of Risk

You expressly acknowledge and agree that trading and investing in financial markets involves substantial risk of loss, including the potential loss of your entire invested capital. Market conditions can change rapidly and unpredictably. You assume full responsibility for all trading and investment decisions you make, regardless of whether such decisions were influenced by, correlated with, or based on information obtained through the Service. MarketMood shall bear no responsibility whatsoever for any financial outcomes — whether gains or losses — resulting from your actions. The display of forecast accuracy, historical performance, or track record data on the Platform does not constitute any guarantee, warranty, or promise of future accuracy or performance.

8. AI-Generated Content Disclaimer

Portions of the Service utilize artificial intelligence and machine learning models (including but not limited to models provided by Anthropic, OpenAI, and other third-party providers) to generate narratives, analysis, forecasts, probability estimates, trade ideas, focused analyses, daily digests, chat responses, and other content. You acknowledge and agree that:

• AI-generated content may contain errors, hallucinations, inaccuracies, outdated information, biases, or misleading conclusions
• AI models may produce outputs that appear confident or authoritative but are factually incorrect or analytically flawed
• AI models are probabilistic in nature and their outputs may vary, be inconsistent, or change without notice
• The Company makes no representations regarding the accuracy, reliability, completeness, or fitness for any purpose of any AI-generated content
• You must independently verify all information before relying on it for any purpose, including but not limited to financial decisions
• The self-improvement feedback loop, while designed to improve accuracy over time, does not guarantee improved performance and may not prevent errors

9. Data Accuracy and Third-Party Sources

Market data displayed on the Platform is sourced from third-party providers including but not limited to Finnhub, Yahoo Finance, CNN, and other data aggregators. Social sentiment data is sourced from third-party platforms including but not limited to Reddit. We do not guarantee the accuracy, timeliness, completeness, or reliability of any third-party data. Data may be delayed, incomplete, or contain errors. Sentiment scores, mood scores, and weather classifications are calculated algorithmically and represent mathematical computations, not expert opinions. Probability estimates and forecasts are outputs of statistical models and AI inference, not guarantees or predictions of actual outcomes. Discrepancies between our data and actual market conditions may occur at any time without notice.

10. User Accounts and Access

Access to certain features of the Service requires creating an account via Google OAuth or other authentication methods we may offer. By creating an account, you represent, warrant, and agree that:

• You are at least 18 years of age or the legal age of majority in your jurisdiction, whichever is greater
• You will provide accurate, current, and complete information during the registration process
• You are responsible for maintaining the confidentiality and security of your account credentials
• You are solely responsible for all activity that occurs under your account, whether or not authorized by you
• You will notify us immediately of any unauthorized use of your account or any other breach of security
• Account approval is at our sole and absolute discretion and may be granted, withheld, or revoked at any time without cause or explanation
• We may suspend, restrict, or terminate your account at any time for any reason, including but not limited to violation of these Terms, without prior notice or liability
• You may not create multiple accounts, share your account with others, or transfer your account to another person

11. Credits, Pricing, and Payments

The Service operates on a credit-based daily unlock system. By purchasing or using credits, you acknowledge and agree that:

• Daily unlock model: Credits are consumed on a daily basis. One (1) credit is automatically deducted the first time you access any premium feature on a given calendar day (based on Eastern Time). Upon deduction, you receive unlimited access to all premium features — including AI Chat, Market Narrative, Daily Playbook, Stock Forecast, and all associated sub-features — for the remainder of that calendar day.
• All credit purchases are processed through Stripe, Inc. and are subject to Stripe's terms of service and privacy policy.
• All purchases are final and non-refundable, except as required by applicable consumer protection law or at our sole discretion. You waive any right to chargeback or dispute resolution through your payment provider except in cases of unauthorized transactions.
• Credits have no cash value and cannot be exchanged, transferred, gifted, sold, or redeemed for cash or any other form of consideration.
• Pricing is subject to change: The cost of credits, the number of credits per pack, the daily unlock cost, and any other pricing terms are subject to change at any time, at our sole discretion, with or without prior notice. Changes to pricing will not affect credits already purchased but will apply to all future purchases and consumption.
• New accounts may receive a promotional credit balance. The amount and availability of such promotional credits are determined at our sole discretion and may be changed or discontinued at any time.
• We reserve the right to modify, suspend, replace, or discontinue the credit system, the daily unlock model, or any aspect of the pricing structure at any time.
• Unused credits do not expire under normal circumstances but may be forfeited upon account termination for cause, including but not limited to violation of these Terms.
• We reserve the right to adjust, correct, or reverse credit balances in the event of technical errors, fraud, abuse, or other irregularities.

12. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable local, state, national, or international laws or regulations
• Attempt to gain unauthorized access to any part of the Service, its servers, databases, or any connected systems or networks
• Scrape, crawl, spider, harvest, or use any automated means (including bots, scripts, or browser extensions) to extract, download, or collect data from the Service
• Redistribute, resell, sublicense, publicly display, or commercially exploit any content, data, forecasts, or analysis from the Service without our prior written consent
• Interfere with or disrupt the integrity, performance, or security of the Service or its infrastructure
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Use the Service, its data, or its outputs to manipulate markets, engage in any form of market abuse, insider trading, or front-running
• Reverse-engineer, decompile, disassemble, or attempt to derive the source code, algorithms, or underlying models of the Service
• Circumvent or attempt to circumvent any access restrictions, credit system, authentication mechanisms, or usage limits
• Use the Service to develop, train, or improve any competing product or service

13. Indemnification

You agree to indemnify, defend, and hold harmless MarketMood, its owners, operators, officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, actions, demands, damages, losses, liabilities, judgments, settlements, costs, and expenses (including reasonable attorney's fees and court costs) arising out of or related to: (a) your use or misuse of the Service; (b) your violation of these Terms or any applicable law or regulation; (c) your violation of any rights of any third party; (d) any trading, investment, or financial decisions you make based on or influenced by information obtained through the Service; (e) any content you submit, transmit, or communicate through the Service; or (f) your negligent or willful misconduct. This indemnification obligation shall survive the termination of your account and these Terms.

14. Intellectual Property

All content, features, functionality, design, text, graphics, logos, icons, images, audio, video, software, algorithms, models, data compilations, methodologies, trade secrets, and code comprising the Service are the exclusive property of MarketMood or its licensors and are protected by applicable intellectual property laws, including but not limited to copyright, trademark, patent, and trade secret laws.

Subject to your compliance with these Terms, you are granted a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial purposes only. This license does not include the right to: (a) modify, copy, or create derivative works based on the Service; (b) use any data mining, robots, or similar data gathering methods; (c) download (other than page caching) any portion of the Service; or (d) use the Service or any portion thereof for any commercial purpose. Any unauthorized use of the Service terminates this license immediately.

15. Third-Party Services

The Service integrates with and relies on third-party services including but not limited to Finnhub and Yahoo Finance (market data), Anthropic (AI models), Reddit (social data), Google (authentication), Stripe (payment processing), and Vercel (hosting). We are not responsible for the availability, accuracy, conduct, terms, privacy practices, or content of any third-party services. Your use of third-party services is subject to their respective terms of service and privacy policies, which you are solely responsible for reviewing. Third-party service interruptions, changes, or discontinuations may affect the availability, functionality, or accuracy of the Service, and we shall not be liable for any such impact.

16. Service Availability

We do not guarantee uninterrupted, continuous, or error-free availability of the Service. The Service may be unavailable, degraded, or interrupted during scheduled or unscheduled maintenance, updates, deployments, or due to factors beyond our reasonable control, including but not limited to server failures, network outages, third-party service disruptions, cyberattacks, natural disasters, or force majeure events. We shall not be liable for any loss, damage, or inconvenience resulting from service interruptions, regardless of cause or duration.

17. Privacy and Data

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, storage, and processing of your information as described in our Privacy Policy. We collect and process usage data, including but not limited to feature access patterns, credit consumption, forecast views, and interaction data, for the purposes of service operation, improvement, analytics, and billing. You acknowledge that anonymized and aggregated data derived from your use of the Service may be used for any purpose, including but not limited to research, analytics, and marketing.

18. Electronic Communications

By creating an account or using the Service, you consent to receive electronic communications from us, including but not limited to: account-related emails, transactional notifications (such as credit purchase confirmations), service announcements, security alerts, smart alert notifications (via in-app, email, or Telegram as configured), and updates regarding changes to these Terms or our policies. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

19. Termination

We reserve the right to suspend, restrict, or terminate your access to the Service, in whole or in part, at any time, for any reason or no reason, without prior notice or liability, at our sole discretion. You may terminate your account at any time by contacting us through the Contact page.

Upon termination, whether by you or by us: (a) your right to use the Service ceases immediately; (b) we may, but are not obligated to, delete your account and all associated data, including usage history, alert preferences, watchlists, and other user-specific data; (c) any remaining credits may be forfeited without refund or compensation; and (d) provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: disclaimers, limitations of liability, indemnification obligations, intellectual property provisions, dispute resolution provisions, and any other provisions that are intended to survive.

20. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms, the Service, or the breach, termination, or validity thereof, shall first be attempted to be resolved through good-faith negotiation between the parties for a period of not less than thirty (30) days.

If the dispute cannot be resolved through negotiation, it shall be resolved through binding arbitration administered in accordance with applicable arbitration rules. The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding upon both parties and may be entered as a judgment in any court of competent jurisdiction. You waive any right to participate in class action lawsuits, class-wide arbitration, or any consolidated or representative proceedings against MarketMood.

21. Force Majeure

MarketMood shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, government actions or orders, labor disputes, power failures, internet or telecommunications failures, cyberattacks, third-party service provider failures or outages, or any other event that could not have been reasonably foreseen or prevented. During any such event, our obligations under these Terms shall be suspended to the extent affected, without liability.

22. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction or arbitrator, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent to the greatest extent possible. If such modification is not possible, the provision shall be deemed severed from these Terms without affecting the validity or enforceability of the remaining provisions.

23. Waiver

No failure or delay by MarketMood in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof. No single or partial exercise of any right, power, or remedy shall preclude any other or further exercise thereof or the exercise of any other right, power, or remedy. The rights and remedies provided in these Terms are cumulative and not exclusive of any other rights or remedies provided by law.

24. Assignment

You may not assign, transfer, delegate, or sublicense any of your rights or obligations under these Terms without our prior written consent. MarketMood may freely assign, transfer, or delegate these Terms, or any of its rights or obligations hereunder, without restriction and without notice to you, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.

25. Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and MarketMood regarding the use of the Service and supersede all prior and contemporaneous agreements, proposals, negotiations, communications, and understandings, whether written or oral, relating to the subject matter hereof. In the event of any conflict between these Terms and any other document or communication, these Terms shall prevail.
